Welcome to Apruv LLC (“Apruv,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our services, including our website, mobile application, and any other software or services offered by Apruv (collectively, the “Services”). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
1. Acceptance of Terms
BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OUTLINED IN THIS AGREEMENT. YOUR USE OF OUR SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS, WHETHER DOCUMENTED THROUGH A SIGNED AGREEMENT OR DIGITAL ACKNOWLEDGMENT.
2. Description of Services
Apruv provides post-sale optimization software and services, including AI-powered welcome call and verification services (Apruv Verify), sending review requests and collecting feedback with optional tipping (Apruv Rate), managing referral systems (Apruv Actions), and tracking performance metrics and customer interactions (Apruv Align).
3. Account Registration
To access certain features of our Services, you must register for an account. You agree to provide accurate and complete information during the registration process and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or breach of security.
4. Third-Party Banking Account Information
Certain features of our services require access to your financial account details from other institutions, such as balance information and transaction histories. By using our services, you authorize Apruv to retrieve this data on your behalf and permit third parties to share it with us. It is your responsibility to keep your passwords and usernames secure and up to date.
5. User Conduct
You agree not to use our Services to:
Violate any applicable law or regulation.
Infringe upon the intellectual property rights of others.
Transmit any harmful or disruptive code or content.
Engage in any fraudulent, deceptive, or misleading activities.
Interfere with the operation of our Services or the servers and networks used to make the Services available.
Collect or store personal data about other users without their express permission.
Use our Services in any manner that could damage, disable, overburden, or impair our servers or networks.
6. Fees and Payment
Certain features of our Services may require payment. By selecting a paid service, you agree to pay Apruv the fees indicated for that service. Payments are non-refundable except as required by law. We reserve the right to change our fees at any time upon notice to you. You are responsible for all charges and fees associated with connecting to our Services, including internet access and communication charges.
Verification Completion Policy: We do not bill for digital verifications with Apruv Verify that are under 10% complete.
7. Intellectual Property
All content and materials provided through our Services, including text, graphics, logos, and software, are the property of Apruv or our licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content from our Services without our prior written permission.
User-Provided Content Users retain ownership of their content but grant Apruv a license to use, process, and store it for service delivery. Users are responsible for ensuring their content does not violate laws or third-party rights. Apruv reserves the right to remove any content that breaches these terms.
8. Data Protection
Encryption and Security We employ robust encryption and security measures to protect the data entrusted to us, including customer information and API keys. Our data security practices comply with applicable data protection laws, including GDPR and CCPA.
Access to Customer Data By using our Services, you grant us the right to access, process, and store customer data necessary for the provision of our Services. We commit to handling this data responsibly and in accordance with applicable data protection laws.
Data Use The data accessed will solely be used for the purpose of delivering the Services outlined in this Agreement. We will not use customer data for any unrelated purposes without obtaining prior consent. Data will not be shared with third parties unless required for service delivery, in which case third parties are vetted and comply with our data protection standards.
Data Breach Procedures In the event of a data breach, we will promptly inform affected parties within 72 hours and take necessary measures to mitigate the breach's impact. We will implement corrective actions to prevent future breaches.
9. Privacy Policy
Your use of our Services is also governed by our Privacy Policy, which can be found here. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
10. Disclaimer of Warranties
Our Services are provided “as is” and “as available” without any warranties of any kind, whether express or implied. Apruv disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by law, Apruv shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
Your use or inability to use our Services.
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Any interruption or cessation of transmission to or from our Services.
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.
Service Accuracy While we strive for accuracy in the services provided, we cannot guarantee that our Services will be free from errors or omissions. We disclaim all liability for any inaccuracies or errors, except as prohibited by law. Our liability for any claims arising out of or relating to this Agreement is limited to the amount you paid us for the Services in the 12 months preceding the claim.
Data Breaches In the event of a data breach, we will promptly inform affected parties and take necessary measures to mitigate the breach's impact. However, we will not be liable for any indirect damages resulting from such breaches. We will provide support to affected customers in mitigating any damages directly resulting from the breach.
12. Indemnification
You agree to indemnify and hold harmless Apruv, its officers, directors, employees, and agents, from any claims, damages, losses, liabilities, and expenses arising out of or in connection with your use of our Services or your violation of this Agreement. This indemnification does not apply to the extent that any claims or losses arise directly from our gross negligence or willful misconduct.
13. Termination
We may terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Modifications to Terms
We reserve the right to modify these terms and conditions with a 30-day written notice. Your continued use of the Services after such modifications will constitute your acceptance of the new terms. Notice will be provided via email and an update on our platform.
15. Governing Law
This Agreement shall be governed by the laws of Idaho, without regard to its conflict of law provisions. Any disputes arising out of or related to this Agreement shall be resolved in the state or federal courts located in Idaho.
16. Entire Agreement
These Terms constitute the entire agreement between you and Apruv regarding the use of our Services and supersede any prior agreements between you and Apruv relating to your use of the Services.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
